General Terms

These terms mainly cover fundamental aspects necessary to operate an internet business.

Defined Terms

Positron ("Company," "we," "us," "our") wholly owns and operates PrizeForge ("PrizeForge", "The Services").

Terms of Use, and incorporated documents and terms (“Terms”) forms a legal agreement between Positron and you or the entity you represent (“you” and “your”).

This Agreement is effective upon the date you first access or use the Services (“Effective Date”) and continues until you or Positron terminates it (this period, the “Term”).

Agreement to Terms

By using PrizeForge, you agree to the Terms. If you do not agree, you must stop using PrizeForge immediately.

Additional Terms

You’re also agreeing to our Privacy Policy, Terms of Service, and agreeing to follow any other rules on the Site, which are incorporated in these Terms by reference or explicitly opted into. Both funding and social decision processes will include their own terms that you will opt into separately.

Updates and Continuing Agreement

We may update these Terms at any time. Changes take effect when posted, and your continued use of PrizeForge constitutes acceptance of the updated Terms. It is your responsibility to review them periodically.

Age Requirement

You must not use PrizeForge if you are under 13 years of age. If you are legally a minor in the jurisdiction in which you reside, you may only use PrizeForge under the supervision of your parent or legal guardian.

Electronic Agreements

By using PrizeForge, you consent to electronic communications. This includes agreements, notices, and disclosures we provide via email or on PrizeForge, which satisfy any legal requirement for written communication.

You agree to use electronic signatures, contracts, and records, and to receive notices and transaction records electronically. You waive any legal requirement for physical signatures, paper records, or non-electronic payments where permitted by law.

Local Eligibility

Using PrizeForge where it is illegal or requires us to register under local laws is prohibited. If you access PrizeForge from outside permitted areas, you do so at your own risk. You agree that you are responsible for compliance with local laws and to notify us of any needs arising from local laws so that we may either comply or terminate your account. You agree not to hold us liable and to indemnify us for your use outside of permitted areas.

Intellectual Property

We own or license all intellectual property in PrizeForge, including software, designs, media, text, trademarks, and logos ("Content" and "Marks"). These are protected by copyright, trademark, and other laws.

You may use PrizeForge's Content and Marks only "AS IS" for personal, non-commercial, or internal business purposes. You also agree not to change, translate, or otherwise create derivative works of the Service.

Unless we give written permission, you may not copy, modify, distribute, or commercially exploit any part of PrizeForge, its Content, or Marks. We reserve all rights not explicitly granted to you.

Your Content

We don’t own content you submit to us (your “Content”). You grant to us, and others acting on our behalf, a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, sub-licensable, transferable right to use, reproduce, make derivative works, publicly display, publicly perform, distribute, disseminate, communicate, commercialize, and exploit the copyright, publicity, trademark, and database rights with respect to your Content.

Your Content must not contain third-party copyrighted material, or material that is subject to other third-party proprietary rights, unless you have permission from the rightful owner of the material and can pass those permissions along to us, or you are otherwise legally entitled to post the material (and to grant us all the license rights outlined here).

Your Submissions

If you send us any ideas, feedback, or other content ("Submissions"), you assign all rights in those Submissions to us. We may use them freely for any purpose without compensating or crediting you.

Disclaimer of Warranties

PrizeForge is provided on an "as-is" and "as-available" basis. Your use of PrizeForge is at your own risk. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee the accuracy or completeness of any content on PrizeForge, nor are we responsible for any errors, omissions, or damages arising from its use. We also do not endorse or take responsibility for any third-party products or services linked to or advertised on PrizeForge.

Modifications and Interruptions

We may modify, update, or remove any part of PrizeForge at our discretion, without notice. We are not liable for any disruptions, interruptions, or loss of service. We do not guarantee continuous availability or uninterrupted access, and we are not responsible for any inconvenience caused by downtime.

User Data

You are solely responsible for the data you transmit or generate on PrizeForge. We are not liable for any loss, corruption, or damage to your data, and you waive any claims related to such losses.

Corrections and Updates

We reserve the right to correct any errors, inaccuracies, or omissions on PrizeForge, including changes to pricing, availability, or other content, at any time and without notice. You agree that we are not liable for any damage resulting from such correction.

Limitation of Liability

We are not liable for any direct, indirect, incidental, consequential, or punitive damages arising from your use of PrizeForge, including loss of data, profits, or any other damages, even if we have been advised of the possibility. Our liability is limited to the amount you have paid to us, if any. Certain jurisdictions may not allow limitations on damages, so these restrictions may not apply to you.

Termination

We may, at our sole discretion, suspend or terminate your access to PrizeForge at any time, with or without notice, for any reason, including violations of these Terms or applicable laws. We may also delete any content you post. In addition to suspending or terminating your account, we reserve the right to pursue legal action, including civil, criminal, and injunctive remedies.

We have the right to monitor PrizeForge for violations of these Terms and take appropriate action, including but not limited to:

Services Management

We reserve the right to manage PrizeForge to protect our rights, ensure compliance with these Terms, and maintain proper functioning of the Services. This includes terminating accounts and deleting data that are burdensome.

Dispute Resolution and Governing Law

These Terms shall be governed by and construed in accordance with the laws of South Korea, without giving effect to any principles of conflicts of law, and excluding the application of the Uniform Computer Information Transaction Act (UCITA) and the United Nations Convention on Contracts for the International Sale of Goods (UNCCISA).

Any dispute, controversy, or claim arising out of or in connection with these Terms shall first be subject to informal negotiations between the Parties for at least 90 days, starting upon written notice from one Party to the other Party. If the dispute is not resolved through negotiations, it shall be resolved through binding arbitration.

Arbitration will be conducted by the International Commercial Arbitration Court (ICAC) under the European Arbitration Chamber (Brussels, Belgium), in accordance with the ICAC's rules. The arbitration will take place in South Korea, and the language of the proceedings shall be English. The governing law of these Terms shall be the substantive law of South Korea. The arbitration will be conducted by one arbitrator.

The arbitration will be limited to individual disputes between the Parties. No arbitration may be joined with any other proceeding, and there shall be no class-action procedures or representative actions in any arbitration.

If a court finds any part of this arbitration provision to be unenforceable, that dispute will be decided in the courts of South Korea, and the Parties agree to submit to the personal jurisdiction of those courts.

Miscellaneous

These Terms, along with any policies we post on PrizeForge and supplementary terms you opt into, constitute the entire agreement between you and us. Failure to enforce any provision does not waive our right to do so later. These Terms apply to the fullest extent allowed by law.

We may assign our rights and obligations at any time. We are not liable for delays, losses, or failures beyond our reasonable control. If any part of these Terms is found unenforceable, the rest remains in effect.

These Terms do not create a partnership, employment, or agency relationship. They will not be interpreted against us as the drafter. You waive any objections to their electronic form or lack of physical signatures.
