Defined Terms
Positron ("Company," "we," "us," "our") wholly owns and operates PrizeForge ("PrizeForge", "The Services").
Terms of Service, and incorporated documents and terms (“Terms”) forms a legal agreement between Positron and you or the entity you represent (“you” and “your”).
This Agreement is effective upon the date you opt into Elastic Fund Matching (“Effective Date”) and continues until you or Positron terminates it (this period, the “Term”).
Supplemental
These terms specify behaviors of a Funding Process, which is described in the General Crowdfunding Terms that you have agreed to by using The Services.
Version
The version number above (ie 1.0.0) indicates the version of intended behaviors. The software implementing the behaviors may change at any time without notice and without a change of versions. Changes to intended behaviors will update the version. Opting into these terms covers this version and all future versions.
The version number indicates the degree of similarity of behaviors. It is however not a semantic version and does not imply compatibility of any APIs. The leading digit indicates the broad data model. The middle digit is incremented to add or remove behaviors. The trailing digit is used to indicate refinement of existing behaviors.
Agreement to Terms
Elastic Fund Matching features are opt-in. If you do no longer agree to the terms, you must un-enroll immediately.
Updates and Continuing Agreement
We may update these Terms at any time. Changes take effect when posted. Changes in these terms may happen with or without updating the version.
Notification of Changes
By opting into the terms, you agree to be contacted regarding version updates. We will notify you when behaviors are added or removed, which is reflected in the middle value of the version.
Recurring Period
Enrollments will be for one week. A $1 enrollment is $1 every seven days. This is usually $52 / year or about $4 per month.
Fragment Commitment
Your Enrollement will be decomposed into power-of-two components ("Fragment") for matching. For example, if your enrollment is $27, your Enrollment will match $16, $8, $2, and $1 fragments separately, one after the other. The binary representation of numbers exactly matches how we break down your enrollment into fragments.
Descending Fragments
Fragments are matched in order from largest to smallest.
Partial Fragment Matching
Fragments may match with other fragments that are larger or smaller if conditions do not allow matching at the exact size of the fragment. Each partial fragment will match as a power-of-two up to the exact fragment size. A fragment of 32 can match with 1, 2, 4, 8, 16, and finally 32. It will do so in order. Your Enrollment will then switch to matching the next fragment.
Levels
Fund Matching is performed by grouping Partial Fragments of the same amount from many Contributors. Each Level only matches Parital Fragments at one specific amount. For example, a Level with an amount of 16 can match Partial Fragments taken from Fragments of 32, 64, 128 or larger powers of two.
Thresholds
Each Level can accumulate matching Partial Fragments until the sum of already Committed ("Matched") and matching Partial Fragments exceeds a threshold. If this threshold is reached, the Level has "Triggered".
The initial Threshold for a level is twice its amount. A level of eight cannot first begin matching any funds until its Treshold is allowed to become sixteen, meaning two Partial Fragments of eight.
Triggering
When any level accumulates enough matching funds to reach its current threshold:
- all Levels simultaneously Commit all Matching Partial Fragments, converting them into Matched
- all Levels set their next threshold to double their post-trigger matched amount
Funds moved from matching to matched are Committed and will Disburse at the end of the Recurring Period.
Relations Between Levels
Levels are only able to match funds within certain restrictions.
At Most Equal
A level can only trigger if it will have no more than the same total as the level below. A level matching twos can only match to a total of 32 (16 fragments) if the level of ones has at least 32 post-trigger.
Creation
A Level only begins to exist when the level below can allow it to match two fragments. Because the level below has half the amount, this means the sum of its matched and matching partial fragments must reach four fragments before it can support the creation of the level above.
Interpretation & Corrections
As stated in our General Terms, you agree that our interpretations and corrections to this Funding Process are correct and that if we make further corrections, even ones contradicting earlier changes, they are also correct. You agree that we are exclusively responsible for holding authority to interpret, execute, and remediate this Funding Process to the best of our ability to create value for all Users and uphold the value proposition of our services.
